These Terms govern only your access to and use of the Site. Provision of Services is subject to separate written agreements, proposals, or statements of work; nothing in these Terms creates a contract for services.

Copyright Complaints (DMCA)

If you believe your copyrighted work has been infringed on this Site, send a written notice to our designated copyright agent that includes:

• Identification of the copyrighted work you claim is infringed
• Identification of the material you claim is infringing and its location on the Site (for example, the URL)
• Your name, address, telephone number, and email address

5. Growth Audit and Paid Offers

From time to time, we may offer paid, fixed-scope products such as the JD Media Growth Audit, which reviews a business’s website, SEO, content, social presence, and paid advertising opportunities and provides a 90-day priority roadmap.

The scope, price, and delivery timeframe are those stated on the Site or in your order confirmation at the time of purchase.

Audit findings and recommendations are based on the information and access you provide and on the state of your marketing at the time of review.

Purchasing an audit does not obligate you to purchase any additional Services, and does not guarantee any particular business or marketing result.

Payment, Taxes, and Refunds

Fees are payable in U.S. dollars at the time of purchase through the payment method offered at checkout. Prices exclude applicable sales, use, or similar taxes, which you are responsible for where they apply.

Refund Policy: If we have not yet begun work on your Growth Audit, you may request a full refund within 3 days of purchase. Once work has begun, or once the audit has been delivered, the purchase is final and non-refundable. Cancellation and refund requests should be sent to info@jdmediaus.com. Terms in a separate written agreement, if any, take priority over this section.

To operate and improve the Site and Services, we use third-party tools and technologies, including:

Our total liability for any claim arising from these Terms or your use of the Site shall not exceed the greater of (a) the amount you paid to JD Media in the twelve (12) months before the claim arose, or (b) US$100.

Informal resolution first.

Binding arbitration.

If the dispute is not resolved, any dispute arising from these Terms or your use of the Site will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be seated in Illinois, USA. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver.

To the extent permitted by law, you may bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

Exceptions.

Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect intellectual property rights.

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or applicable law. Sections that by their nature should survive termination (including Sections 3, 4 (User Content), 7, 8, 9, 13, 15, and 16) will survive.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Subject to Section 13, any dispute that is not subject to arbitration shall be resolved exclusively in the state or federal courts located in Illinois, and you consent to their jurisdiction.

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Severability: If any provision is found invalid, the remaining Terms remain in effect.
